Welcome to Techlift Digital Solutions Limited (“Techlift”, “we”, “our”, or “us”). These Terms and Conditions govern the use of our website, products, and professional services. By engaging our services, accessing our website, or making a payment, you agree to be legally bound by these Terms and Conditions.

2. Acceptance of Terms
By requesting a quotation, signing a contract, making payment, or using any of our services, you acknowledge that you have read, understood, and accepted these Terms and Conditions.
3. Quotations
All quotations issued by Techlift:
- Are valid for 30 days unless stated otherwise.
- Are based on the agreed project scope.
- Do not include additional work outside the agreed scope.
- May be revised if the client changes project requirements.
Project Commencement & Payment Terms
4.1 Initial Deposit
Techlift Digital Solutions Limited shall NOT commence any project or service until an initial deposit of at least 40% of the total project value has been paid, unless otherwise agreed in writing.
This deposit secures:
- Project scheduling
- Resource allocation
- Planning
- Design work
- Development commencement
Projects remain inactive until the agreed initial payment has been received.
4.2 Payment Schedule
Unless otherwise agreed:
- 40% Initial Deposit
- 30% Midway Payment (or upon reaching agreed milestones)
- 30% Final Payment before project deployment, launch, delivery, or handover.
For smaller projects, Techlift may require:
- Full payment upfront.
4.3 Late Payments
Late payments may result in:
- Suspension of work
- Delay in project delivery
- Temporary suspension of hosting services
- Suspension of maintenance services
- Removal of websites from public access after reasonable notice where invoices remain unpaid
Techlift reserves the right to charge reasonable administrative or interest fees on overdue invoices where permitted by law
4.4 Late Payments
Payments made are generally non-refundable because resources, labor, software licenses, and planning costs are incurred immediately after project commencement.
Refunds may only be considered where:
- Techlift is unable to provide the agreed service.
- Both parties mutually agree in writing.
Deposits already used for completed work remain non-refundable.
5. Client Responsibilities
Clients agree to:
- Provide accurate information.
- Supply all required content.
- Supply logos, images, videos, documents, and branding materials.
- Respond to approvals promptly.
- Provide feedback within agreed timelines.
- Ensure all supplied materials are legally owned or licensed.
Project delays caused by the client do not constitute delays by Techlift.
6. Project Scope
Work shall be limited to the scope defined in the quotation, proposal, or contract.
Additional requests outside the agreed scope constitute a variation and may:
- Increase project cost.
- Extend delivery timelines.
- Require a separate quotation.
7. Project Timelines
Estimated delivery dates depend on:
- Client responsiveness.
- Timely payments.
- Availability of required content.
- Third-party approvals.
- Complexity of requested revisions.
Techlift shall not be held responsible for delays caused by:
- Clients
- Internet outages
- Force majeure
- Government restrictions
- Third-party service providers
8. Revisions
Unless otherwise stated:
Projects include a reasonable number of revisions during development.
Additional revisions beyond the agreed limit may attract additional charges.
Major design or functional changes requested after approval may require a new quotation.
9. Website Design & Development
Techlift agrees to develop websites according to the agreed specifications.
Clients acknowledge that:
- Minor browser differences may occur.
- Performance depends on hosting quality.
- Third-party plugins may require paid licenses.
- Future updates may require maintenance.
Techlift does not guarantee first-page Google rankings.
10. Website Maintenance
Maintenance services may include:
- Security updates
- Plugin updates
- Performance optimization
- Content updates
- Bug fixes
- Backups
Maintenance does not include:
- Major redesigns
- New functionality
- Complete website redevelopment
Unless specifically covered in a maintenance agreement.
11. Mobile Application Development
Techlift develops Android, iOS, and cross-platform applications.
Clients are responsible for:
- Google Play Console accounts
- Apple Developer Accounts
- Publishing fees
- Third-party API subscriptions
- Government licensing requirements
Submission approval by Google or Apple cannot be guaranteed.
12. Software Development
Custom software is developed according to agreed specifications.
Future enhancements requested after acceptance shall be treated as new work.
13. Web Hosting
Techlift provides hosting subject to acceptable usage.
Hosting customers agree not to:
- Host illegal content
- Send spam
- Host malware
- Abuse server resources
- Conduct phishing activities
- Host pirated software
- Engage in cryptocurrency mining
- Launch attacks against other systems
Violation may result in immediate suspension without refund.
14. Domain Registration
Domain registrations are governed by the relevant domain registry.
Clients acknowledge:
- Domain registrations are generally non-refundable once submitted.
- Renewal reminders are sent as a courtesy.
- Clients remain responsible for renewing domains before expiry.
- Expired domains may become available for public registration.
15. Graphics Design & Branding
Ownership of final approved designs transfers upon full payment.
Techlift retains ownership of:
- Draft concepts
- Unapproved artwork
- Internal working files

16. Digital Marketing & Social Media Management
Marketing outcomes depend on numerous external factors.
Techlift cannot guarantee:
- Sales
- Leads
- Viral content
- Specific advertising results
- Search engine rankings
Marketing performance depends on:
- Market demand
- Competition
- Advertising budget
- Audience behaviour
17. Search Engine Optimization (SEO)
SEO is an ongoing process.
Techlift does not guarantee:
- Number one Google rankings
- Specific traffic increases
- Immediate results
18. Payment Gateway Integration
Techlift integrates approved payment gateways.
Approval, compliance, verification, and transaction processing remain the responsibility of the payment provider.
Techlift is not liable for payment gateway downtime or rejected transactions.
19. Intellectual Property
Upon full payment:
The client owns the final deliverables specifically created for the project, except where third-party licenses apply.
Techlift retains ownership of:
- Proprietary frameworks
- Internal development tools
- Reusable code libraries
- Development methodologies
- Templates created prior to the project
20. Confidentiality
Both parties agree to keep confidential information private.
Neither party shall disclose confidential business information without written consent unless required by law.
21. Third-Party Services
Projects may depend on third-party providers including:
- Hosting providers
- Apple
- Payment gateways
- APIs
- Domain registries
Techlift is not responsible for outages, pricing changes, policy updates, or decisions made by third parties.
22. Service Suspension
Techlift reserves the right to suspend services where:
- Payments remain outstanding.
- Terms are violated.
- Illegal activities are detected.
- Security risks are identified.
- Abuse of services occurs.
23. Limitation of Liability
To the fullest extent permitted by law, Techlift shall not be liable for:
- Loss of profits
- Business interruption
- Data loss
- Indirect or consequential damages
- Third-party failures
- Cyberattacks beyond reasonable preventive measures
- Internet outages
Our total liability shall not exceed the amount paid by the client for the affected service.
24. Data Backup
Although Techlift may perform backups for certain services, clients remain responsible for maintaining independent backups of all critical data unless a managed backup service has been expressly agreed.
25. Warranty
Techlift warrants that services will be performed with reasonable skill and care.
Bug fixes related to the original agreed scope will be addressed during the agreed warranty period, if applicable.
This warranty does not cover:
- Client modifications
- Third-party software changes
- Hosting-related issues outside our control
- Future compatibility changes
26. Termination
Either party may terminate a project by written notice.
Where termination occurs:
- The client shall pay for all work completed up to the termination date.
- Completed work will be delivered upon settlement of outstanding amounts.
- Deposits remain non-refundable where work has commenced.
27. Force Majeure
Techlift shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, power failures, labor disputes, government actions, civil unrest, war, internet failures, or other unforeseen events.
28. Amendments
Techlift reserves the right to update these Terms and Conditions at any time. Updated versions become effective upon publication on our website unless otherwise stated.
29. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of Zambia.
Any disputes shall first be addressed through good-faith negotiation. Where resolution cannot be reached, the dispute shall be submitted to the competent courts of Zambia.
